ข้อกำหนดและเงื่อนไขในการใช้งาน Sticker Shop บนแอปพลิเคชัน ketchup ฉบับนี้ ("ข้อกำหนดและเงื่อนไขฯ")
ได้ระบุถึงข้อกำหนดและเงื่อนไขในการใช้บริการต่าง ๆ หรือฟีเจอร์ของ Sticker Shop บนแอปพลิเคชัน ketchup (เรียกรวมกันว่า “บริการฯ”) ของ TADA Entertainment ("TADA") แก่ผู้ใช้บริการ (โดยแต่ละรายเรียกว่า "ผู้ใช้" หรือ “ผู้ใช้รายต่าง ๆ ” ขึ้นอยู่กับเนื้อหา)
คำและข้อความดังต่อไปนี้ให้มีความหมายตามที่ได้กำหนดไว้ด้านล่างเมื่อมีการใช้ในข้อกำหนดและเงื่อนไขฯ ฉบับนี้
1.1 "เนื้อหา" หมายถึง ข้อมูลต่าง ๆ เช่น ข้อความ เสียง เพลง รูปภาพ วิดีโอ ซอฟต์แวร์ โปรแกรม รหัสคอมพิวเตอร์ และข้อมูลอื่น ๆ ไม่ว่าจะอยู่ในรูปแบบหรือสื่อใด ๆ ที่สามารถรับรู้ได้โดยผู้ใช้ รวมถึงแต่ไม่จำกัดเพียงสติกเกอร์ ไอคอน และการออกแบบกราฟิกอื่น ๆ ที่อยู่ในแอปพลิเคชั่น ketchu
1.2 "บัญชี ketchup" หมายถึง บัญชีผู้ใช้ซึ่งสร้างขึ้นโดยการลงทะเบียนใช้บริการบนแอปพลิเคชัน ketchup ที่ให้บริการโดย TADA โดยบัญชีนี้จะใช้ในการเข้าถึงและใช้งานบริการต่าง ๆ ที่มีอยู่ในแอปพลิเคชั่น ketchup รวมถึงการซื้อและดาวน์โหลดเนื้อหาต่าง ๆ
1.3 "Burger" หมายถึง เครดิต หรือ ตราสารการชำระหนี้แบบเติมเงิน ซึ่งออกโดย TADA ที่ผู้ใช้สามารถเติมเข้าบัญชี ketchup เพื่อใช้ในการชำระ และ/หรือแลกเปลี่ยนกับ สินค้า บริการ และเนื้อหาที่มีอยู่บนแอปพลิเคชัน ketchup โดยการใช้ Burger จะมีการหักจำนวนเงินหรือมูลค่าจากบัญชีผู้ใช้ตามที่กำหนดไว้ในข้อกำหนดและเงื่อนไขนี้
1.4 “ผู้ใช้” หมายถึง ผู้ใช้บริการที่ได้ลงทะเบียนและสร้างบัญชี ketchup และได้ยอมรับข้อกำหนดและเงื่อนไขฯ นี้ เพื่อใช้บริการต่าง ๆ หรือฟีเจอร์ของ Sticker Shop บนแอปพลิเคชั่น ketchup
1.5 “ บริการฯ” หมายถึง บริการต่าง ๆ หรือฟีเจอร์ของ Sticker Shop บนแอปพลิเคชั่น ketchup ที่จัดให้แก่ผู้ใช้ รวมถึงแต่ไม่จำกัดเพียงการซื้อ การดาวน์โหลด การจัดเก็บ และการใช้เนื้อหาต่าง ๆ หรือฟีเจอร์ของ Sticker Shop บนแอปพลิเคชั่น ketchup
2.1 ผู้ใช้ทุกรายจะต้องใช้บริการฯ ตามข้อกำหนดที่ระบุไว้ในข้อกำหนดและเงื่อนไขฯ ฉบับนี้ โดยผู้ใช้จะไม่สามารถใช้บริการฯ ได้เว้นเสียแต่ผู้ใช้ได้ตกลงยอมรับข้อกำหนดและเงื่อนไขฯ ฉบับนี้แล้ว
2.2 ผู้ใช้ซึ่งเป็นผู้เยาว์จะสามารถใช้บริการฯ ได้ ก็ต่อเมื่อได้รับความยินยอมล่วงหน้าจากบิดามารดาหรือผู้แทนโดยชอบด้วยกฎหมายเท่านั้น นอกจากนี้ หากผู้ใช้ดังกล่าวใช้บริการฯ ในนามหรือเพื่อวัตถุประสงค์ขององค์กรธุรกิจใด ให้ถือว่าองค์กรธุรกิจดังกล่าวได้ตกลงยอมรับข้อกำหนดและเงื่อนไขฯ ฉบับนี้แล้วล่วงหน้า
2.3 หากมีข้อกำหนดและเงื่อนไขฯ เพิ่มเติมใด ๆ ซึ่งเกี่ยวข้องกับการให้บริการฯ ผู้ใช้จะต้องปฏิบัติตามข้อกำหนดและเงื่อนไขฯ เพิ่มเติมดังกล่าวเช่นเดียวกับข้อกำหนดและเงื่อนไขฯ ในการใช้งานฉบับนี้
3.1 TADA อาจแก้ไขข้อกำหนดและเงื่อนไขฯ ในกรณีดังต่อไปนี้ (1) เมื่อการแก้ไขข้อกำหนดและเงื่อนไขฯ สอดคล้องกับประโยชน์โดยทั่วไปของผู้ใช้ หรือ (2) เมื่อการแก้ไขข้อกำหนดและเงื่อนไขฯ ไม่ใช่การฝ่าฝืนวัตถุประสงค์ของข้อตกลงใด ๆ และมีความสมเหตุสมผลเมื่อคำนึงถึงความจำเป็นในการแก้ไข มีความเหมาะสมในเรื่องดังกล่าวหลังจากการแก้ไข และตามสถานการณ์อื่น ๆ เกี่ยวกับการแก้ไขนั้น
3.2 ในกรณีตาม (1) TADA จะประกาศการแก้ไขข้อกำหนดและเงื่อนไขฯ ให้ทราบต่อสาธารณชน โดยจะแสดงอยู่บนระบบการให้บริการฯ หรือบนเว็ปไซต์ของ TADA หรืออาจแจ้งให้ผู้ใช้ทราบตามวิธีการที่ TADA กำหนด เช่น การแจ้งทางอีเมล การแจ้งในแอปพลิเคชัน หรือแจ้งในหน้าจอ เพื่อให้ผู้ใช้ได้รับทราบถึงรายละเอียดของการแก้ไขและวันที่ที่ข้อกำหนดและเงื่อนไขฯ ที่แก้ไขแล้วจะมีผลบังคับใช้ในกรณีตาม (2) TADA จะประกาศการแก้ไขข้อกำหนดและเงื่อนไขฯ ต่อสาธารณชนล่วงหน้าในระยะเวลาที่เหมาะสมก่อนวันที่ที่ข้อกำหนดและเงื่อนไขฯ ที่แก้ไขแล้วมีผลบังคับใช้ โดยข้อกำหนดและเงื่อนไขฯ ที่แก้ไขแล้วจะมีผลบังคับในวันที่มีผลบังคับเป็นต้นไป
4.1 ในการใช้บริการฯ ผู้ใช้มีความจำเป็นต้องลงทะเบียนในบัญชี ketchup ทั้งนี้ ผู้ใช้ต้องลงทะเบียน ตามข้อมูลที่ TADA กำหนด และต้องทำการเข้าสู่ระบบล่วงหน้าเพื่อใช้บริการ ผู้ใช้ยอมรับว่าข้อกำหนดการใช้งานทั่วไปของ TADA ซึ่งผู้ใช้ได้ให้ความยินยอมในขณะสร้างบัญชี ketchup ย่อมมีผลบังคับใช้แก่การจัดการและการใช้งานอื่น ๆ ของบัญชี ketchup ด้วย
4.2 TADA ขอสงวนสิทธิ์ในการลบบัญชี ketchup ซึ่งไม่มีการเปิดใช้งานเป็นเวลากว่าหนึ่ง (1) ปี หรือนานกว่านับแต่วันที่มีการเปิดใช้งานบัญชีครั้งล่าสุดโดยไม่ต้องบอกกล่าวล่วงหน้าใด ๆ แก่ผู้ใช้บัญชี ketchup
4.3 สิทธิใด ๆ ของผู้ใช้ในการใช้บริการฯ และประวัติการใช้งานอาจสิ้นสุดลงเมื่อบัญชี ketchup ของผู้ใช้ ถูกลบไป ไม่ว่าด้วยเหตุผลประการใด ๆ ทั้งนี้ สิทธิในการใช้บัญชี ketchup และประวัติการใช้งานของผู้ใช้ จะไม่สามารถกู้คืนได้ถึงแม้ว่าผู้ใช้บริการฯ จะลบบัญชี ketchup ของตนโดยไม่ได้ตั้งใจก็ตาม
4.4 บัญชีแต่ละบัญชีในการใช้บริการฯ นั้น มีไว้เพื่อการใช้งานเฉพาะบุคคลและเป็นของเจ้าของบัญชีนั้นแต่เพียงผู้เดียว ผู้ใช้ไม่สามารถโอน ให้ยืม หรือจำหน่ายสิทธิในการใช้บัญชีของตนแก่บุคคลภายนอก ขณะเดียวกันบุคคลภายนอกก็ไม่สามารถรับช่วงสิทธิหรือสืบทอดบัญชีจากผู้ใช้ดังกล่าวได้เช่นกัน
5.1 TADA ให้ความสำคัญแก่ความเป็นส่วนตัวของผู้ใช้บริการฯ เป็นลำดับแรก
5.2 TADA มีสิทธิในการเปิดเผยข้อมูลดังต่อไปนี้ ข้อมูลลงทะเบียนของผู้ใช้ ประวัติการทำธุรกรรม และข้อมูลอื่น ๆ แก่ผู้ให้บริการการชำระเงินและ/หรือตัวแทนเรียกเก็บเงิน เพื่อทำการตรวจสอบการการเข้าถึงข้อมูลของบริการฯ โดยไม่ได้รับอนุญาต ทั้งนี้ หาก TADA เห็นสมควรว่าในการตรวจสอบนั้นมีความจำเป็นที่จะต้องเปิดเผยข้อมูลใด ๆ TADA ต้องขอความยินยอมจากผู้ใช้ในการเปิดเผยข้อมูลนั้นเสียก่อน นอกจากนี้ TADA จะคุ้มครองความเป็นส่วนตัวและข้อมูลส่วนบุคคลของผู้ใช้อย่างเหมาะสมตาม "TADA Entertainment นโยบายความเป็นส่วนตัว"
5.3 TADA สัญญาที่จะใช้ความระมัดระวังและความเอาใส่ใจอย่างสูงสุดกับมาตรการรักษาความปลอดภัย เพื่อให้แน่ใจว่ามีการจัดการข้อมูลใด ๆ ซึ่งเก็บรวบรวมจากผู้ใช้บริการฯ อย่างเหมาะสมและปลอดภัย
6.1 สิทธิ์ใด ๆ ซึ่งเกิดจากหรือเกี่ยวข้องกับบริการฯ (รวมถึงแต่ไม่จำกัดเพียงสิทธิ์ในทรัพย์สินทางปัญญา เช่น ลิขสิทธิ์ สิทธิในเครื่องหมายการค้า และสิทธิในสิทธิบัตร) เป็นของ TADA หรือของผู้ให้อนุญาตที่เป็นผู้ให้บริการภายนอกของ TADA
6.2 TADA ให้สิทธิ์แก่ผู้ใช้ในการใช้บริการฯ ตามข้อกำหนดและเงื่อนไขฯ และข้อกำหนดและเงื่อนไขอื่นเพิ่มเติมซึ่งปรากฎภายในบริการฯ นี้เท่านั้น
6.3 ถึงแม้บนหน้าจอของบริการฯ จะปรากฎคำว่า “ซื้อ” “ขาย” และเครื่องหมายหรือคำอื่นใด ซึ่งมีความหมายคล้ายคลึงกัน แต่สิทธิในทรัพย์สินทางปัญญาหรือความเป็นเจ้าของเกี่ยวกับบริการฯ หรือเนื้อหาใด ๆ จะไม่โอนให้แก่ผู้ใช้แต่อย่างใด ทั้งนี้ ผู้ใช้จะได้รับสิทธิในการใช้งานตามที่ได้ระบุไว้ข้างต้นตามข้อ 6.2 เท่านั้น
6.4 ผู้ใช้จะต้องปฏิบัติตามข้อกำหนดและเงื่อนไขเฉพาะเมื่อใช้บริการหรือเนื้อหาใด ๆ ซึ่งซื้อหรือแลกเปลี่ยนด้วย Burger ในการใช้บริการฯ
6.5 บริการหรือเนื้อหาใด ๆ ที่ได้รับจากการแลกเปลี่ยนกับ Burger สามารถใช้ในบัญชี ketchup ที่มีการเรียกเก็บเงินจาก Burger เท่านั้น
6.6 ผู้ใช้จะเป็นผู้รับผิดชอบจัดหาเครื่องคอมพิวเตอร์ อุปกรณ์สื่อสารเคลื่อนที่ สมาร์ทโฟน อุปกรณ์สื่อสารอื่น ๆ ระบบปฏิบัติการ วิธีการเชื่อมต่อสื่อสารและกระแสไฟฟ้า ฯลฯ ซึ่งจำเป็นต่อการใช้บริการฯ ทั้งนี้ ผู้ใช้เป็นผู้ออกค่าใช้จ่ายเองทั้งสิ้น
6.7 TADA ขอสงวนสิทธิในการจำกัดการเข้าถึงการใช้บริการฯ ทั้งหมดหรือแต่บางส่วนของผู้ใช้บริการฯ การสงวนสิทธิดังกล่าวขึ้นอยู่กับเงื่อนไขที่ TADA เห็นสมควร เช่น อายุและการระบุตัวตนของผู้ใช้บริการฯ การลงทะเบียน สถานภาพ และองค์ประกอบอื่นใดที่มีความคล้ายคลึงกัน
6.8 TADA อาจแก้ไขเนื้อหาทั้งหมดหรือบางส่วนของบริการฯ เมื่อมีเหตุการณ์ใด ๆ ดังต่อไปนี้
(1) เมื่อการแก้ไขเนื้อหาของบริการฯ เช่น การเพิ่มฟังก์ชัน หรือการปรับปรุงบริการฯ สอดคล้องกับประโยชน์โดยทั่วไปของผู้ใช้ (2) ในกรณีอื่นนอกเหนือจากรายการก่อนหน้านี้ เมื่อมีความสมเหตุสมผลโดยคำนึงถึงความจำเป็นในการแก้ไขเนื้อหาของบริการฯ ความเหมาะสมของเนื้อหาหลังจากการแก้ไข และสถานการณ์อื่น ๆ ที่เกี่ยวกับการแก้ไขนั้น
6.9 TADA อาจหยุดการให้บริการฯ ทั้งหมดหรือแต่บางส่วนโดยไม่ต้องบอกกล่าวล่วงหน้าแก่ผู้ใช้ในกรณีดังต่อไปนี้
(1) เมื่อทำการบำรุงรักษาหรือซ่อมแซมระบบ
(2) เมื่อไม่สามารถให้บริการได้เนื่องจากเหตุสุดวิสัยบางประการ เช่น อุบัติเหตุ (ไฟไหม้ ไฟดับ ฯลฯ ) ปรากฏการณ์ธรรมชาติ สงคราม การจลาจล ข้อพิพาทแรงงาน และอื่น ๆ
(3) เมื่อระบบเกิดความขัดข้องหรือมีการใช้งานระบบมากเกินกำลัง (Overload)
(4) เพื่อรักษาความปลอดภัยของผู้ใช้หรือบุคคลภายนอกหรือเพื่อดำเนินภาระกิจอันเป็นประโยชน์ต่อสาธารณะในกรณีฉุกเฉิน
(5) เมื่อ TADA เห็นว่ามีความจำเป็นและเป็นการสมควรนอกจากกรณีที่ได้ระบุไว้ในข้อ (1) ถึง (4) ข้างต้น
การให้บริการฯ นี้อาจมีเนื้อหา หรือบริการอื่นใดซึ่งให้บริการหรือจัดทำโดยผู้ให้บริการภายนอก นอกเหนือจาก TADA ในการนี้ผู้ให้บริการภายนอกดังกล่าวจะเป็นผู้รับผิดชอบแต่เพียงผู้เดียวเกี่ยวกับเนื้อหาฯ และ/หรือการให้บริการดังกล่าว นอกจากนี้ เนื้อหาฯ หรือบริการฯ ดังกล่าวอาจตกอยู่ภายใต้ข้อกำหนด การใช้ หรือข้อกำหนดและเงื่อนไขอื่นใดซึ่งผู้ให้บริการภายนอกได้กำหนดไว้สำหรับเนื้อหาและบริการนั้น ๆ
8.1 ผู้ใช้จะได้รับ Burger โดยวิธีการที่ TADA กำหนด เช่น การซื้อในระบบการให้บริการฯ การแลกบัตรของขวัญ และช่องทางการซื้อล่วงหน้าอื่น ๆ การเสนอให้เป็นพิเศษ และวิธีการอื่น ๆ ในทำนองเดียวกัน ทั้งนี้ รายละเอียดเกี่ยวกับค่าเงิน วิธีการชำระเงิน และเงื่อนไขอื่น ๆ เกี่ยวกับการได้รับ Burger จะถูกกำหนดโดย TADA และถูกแสดงอยู่บนระบบการให้บริการฯ หรือบนเว็ปไซต์ของ ketchup
8.2 Burger ไม่สามารถไปแลกเปลี่ยน ใช้แทนเงินหรือทรัพย์สิน หรือใช้เพื่อวัตถุประสงค์ทางการเงินอื่น นอกจากที่บริการฯ และเนื้อหาของ TADA กำหนด จำนวน Burger ที่จำเป็นต่อการรับบริการฯ หรือใช้เพื่อเนื้อหาหรือใช้เพื่อสิ่งอื่นใดในทำนองเดียวกันจะถูกกำหนดโดย TADA และถูกแสดงอยู่บนระบบการให้บริการฯ หรือบนเว็ปไซต์ของ ketchup เมื่อผู้ใช้ทำการการแลกเปลี่ยน TADA สำหรับเนื้อหาหรือบริการใดแล้ว กระบวนการแลกเปลี่ยนดังกล่าวจะไม่สามารถยกเลิกได้
8.3 เฉพาะบัญชี ketchup ที่รับ Burger เท่านั้นที่จะสามารถใช้งาน Burger ได้
8.4 Burger นั้นจะไม่สามารถขอคืนเป็นเงินได้ ไม่ว่าในกรณีใด ๆ อย่างไรก็ตาม ข้อกำหนดนี้จะไม่มีผลใช้บังคับหากมีกฎหมายและกฏระเบียบที่เกี่ยวข้องกำหนดว่าต้องคืนเงิน ในกรณีดังกล่าว TADA จะดำเนินการคืนเงินตามกฎหมายและกฏระเบียบที่เกี่ยวข้อง และจะมีการแสดงข้อมูลดังกล่าวไว้ในระบบการให้บริการฯ หรือบนเว็บไซต์ของ ketchup ฯลฯ ตามที่กำหนด
9.1 ผู้ใช้อาจได้รับบริการฯ โดยมีค่าใช้จ่ายหรือค่าธรรมเนียม ภายใต้ข้อกำหนดและเงื่อนไขของ TADA ทั้งนี้ ผู้ใช้อาจต้องชำระค่าบริการบางส่วนเพื่อใช้งานเนื้อหาของ TADA ภายในระยะเวลาที่กำหนด (“บริการสมัครสมาชิกฯ”) ผู้ใช้จะต้องปฏิบัติตามข้อกำหนดและเงื่อนไขฯ ค่าธรรมเนียมสำหรับบริการสมัครสมาชิกฯ วิธีการชำระเงิน และเงื่อนไขการใช้งานอื่น ๆ ซึ่งถูกกำหนดและแสดงอยู่บนระบบการให้บริการฯ หรือบนเว็ปไซต์ของ ketchup
9.2 ผู้ใช้สามารถดำเนินการตามขั้นตอนเพื่อขอยกเลิกการให้บริการสมัครสมาชิกฯ ได้ตลอดเวลา อย่างไรก็ตาม หากผู้ใช้ดำเนินตามขั้นตอนเพื่อขอยกเลิกการให้บริการดังกล่าวก่อนระยะเวลาการใช้งานที่กำหนด การกระทำดังกล่าวไม่สามารถเปลี่ยนระยะเวลาการใช้งาน และไม่สามารถยกเลิกการซื้อบริการสมัครสมาชิกฯ ดังกล่าวได้ ในกรณีนี้ ค่าธรรมเนียมซึ่งผู้ใช้ได้ชำระไปแล้วนั้นไม่สามารถขอเรียกรับเงินคืนได้ ทั้งนี้ ข้อกำหนดนี้จะไม่มีผลใช้บังคับหากมีกฎหมายและกฏระเบียบที่เกี่ยวข้องกำหนดว่าไม่สามารถทำได้ ในกรณีนี้ TADA จะดำเนินการคืนเงินตามกฎหมายและกฏระเบียบที่เกี่ยวข้อง และจะแสดงข้อมูลดังกล่าวไว้ในระบบการให้บริการฯ หรือบนเว็บไซต์ของ TADA ฯลฯ ตามที่กำหนด
9.3 ในกรณีที่ผู้ใช้ไม่สามารถดำเนินการยกเลิกบริการสมัครสมาชิกฯ ตามวันและเวลาที่กำหนด ระยะเวลาในการให้บริการสมัครสมาชิกฯ ของท่านอาจได้รับการต่ออายุโดยอัตโนมัติ ถึงแม้ว่าจะสิ้นสุดระยะเวลาใช้บริการสมัครสมาชิกฯ ดังกล่าวแล้วก็ตาม ทั้งนี้ เป็นไปตามเงื่อนไขที่ TADA กำหนด
ผู้ใช้ไม่สามารถกระทำการดังต่อไปนี้เมื่อใช้บริการฯ ได้ ตามที่ TADA กำหนด
10.1 การกระทำที่ฝ่าฝืนกฎหมาย ข้อบังคับ คำพิพากษา มติหรือคำสั่งศาล หรือมาตรการทางปกครองที่มีผลผูกพันทางกฎหมาย
10.2 การกระทำที่อาจขัดต่อความสงบเรียบร้อยหรือศีลธรรมอันดีของประชาชน
10.3 การกระทำที่ละเมิดสิทธิในทรัพย์สินทางปัญญา เช่น ลิขสิทธิ์ เครื่องหมายการค้า สิทธิบัตร สิทธิในชื่อเสียง ความเป็นส่วนตัว และสิทธิอื่น ๆ ทั้งหมดที่ได้รับตามกฎหมายหรือตามสัญญากับ TADA และ/หรือบุคคลที่สาม
10.4 การกระทำที่แสดงหรือส่งต่อซึ่งการแสดงออกที่มีลักษณะรุนแรงหรือเกี่ยวข้องกับเพศอย่างชัดเจน การแสดงออกซึ่งภาพอนาจารของเด็กหรือเยาวชนหรือการทารุณกรรมเด็ก การแสดงออกซึ่งนำไปสู่การเลือกปฏิบัติทางด้านเชื้อชาติ สัญชาติ ความเชื่อ เพศ สถานะทางสังคม ถิ่นกำเนิด ครอบครัว และอื่น ๆ ที่เกี่ยวข้อง การแสดงออกที่ชักชวนหรือส่งเสริมการฆ่าตัวตาย พฤติกรรมการทำร้ายตัวเอง การใช้ยาในทางที่ผิด หรือการแสดงออกใด ๆ ซึ่งเป็นการต่อต้านสังคมอันประกอบด้วยเนื้อหาที่ต่อต้านสังคมและทำให้บุคคลอื่นเกิดความไม่สบายใจเป็นต้น
10.5 การกระทำที่อาจทำให้ผู้อื่นเข้าใจผิดเกี่ยวกับ TADA และ/หรือบุคคลภายนอกหรือการจงใจเผยแพร่ข้อมูลเท็จ
10.6 การกระทำที่เป็นการแลกเปลี่ยนสิทธิในการใช้เนื้อหาฯ เป็นเงินสด ทรัพย์สินหรือผลประโยชน์ทางการเงินอื่น ๆ นอกเสียจากที่ TADA กำหนดไว้
10.7 การกระทำที่มีการใช้บริการฯ เพื่อการขาย การตลาด การโฆษณา การชักชวน หรือวัตถุประสงค์ทางการค้าอื่น ๆ (ยกเว้นวัตถุประสงค์ที่ได้รับความเห็นชอบจาก TADA) การกระทำที่มีการใช้บริการฯ เพื่อการกระทำทางเพศหรือการกระทำที่อนาจาร การกระทำที่มีการใช้บริการฯ เพื่อวัตถุประสงค์ในการพบปะหรือนัดออกเดทกับบุคคลแปลกหน้าเพื่อการมีเพศสัมพันธ์ การกระทำที่ใช้บริการฯ เพื่อวัตถุประสงค์ในการคุกคาม หรือการหมิ่นประมาทใส่ร้ายผู้ใช้รายอื่น ๆ หรือการกระทำใด ๆ ซึ่งใช้บริการฯ เพื่อวัตถุประสงค์อื่นที่มิใช่จุดประสงค์ที่แท้จริงของการให้บริการฯ
10.8 การกระทำที่เป็นประโยชน์ต่อหรือมีส่วนร่วมกับกลุ่มที่ต่อต้านสังคม
10.9 การกระทำที่เป็นการเก็บรวบรวม เปิดเผย หรือการให้ข้อมูลส่วนบุคคลของบุคคลอื่น ข้อมูลที่จดทะเบียน ประวัติผู้ใช้ หรือข้อมูลอื่น ๆ ในทำนองเดียวกันโดยไม่ชอบด้วยกฎหมายหรือไม่เหมาะสม
10.10 การกระทำซึ่งเป็นการแทรกแซงเครื่องแม่ข่ายและ/หรือระบบเครือข่ายของการให้บริการฯ การกระทำซึ่งเป็นการใช้บริการฯ ในทางที่ผิดด้วยการใช้บ็อท (bots) เป็นเครื่องมือเพื่อโกงหรือด้วยวิธีการทางเทคนิคอื่น ๆ การกระทำที่ทำการสอบถามคำถามซ้ำ ๆ เกินความจำเป็น และการกระทำที่เป็นการแทรกแซงการให้บริการฯ ของ TADA หรือการใช้บริการฯ ของผู้ใช้อื่น ๆ
10.11 การถอดรหัสซอร์สโค้ดของบริการโดยวิธีวิศวกรรมย้อนกลับ (Reverse engineering) การถอดประกอบหรือสิ่งที่คล้ายคลึงกัน เพื่อวัตถุประสงค์ที่ไม่อาจหาเหตุผลได้หรือในลักษณะที่ไม่เป็นธรรม
10.12 การกระทำที่ให้ความช่วยเหลือหรือส่งเสริมกิจกรรมใด ๆ ที่ระบุไว้ในข้อ 10.1 ถึงข้อ 10.11 ข้างต้น
10.13 การกระทำอื่นใด นอกเหนือจากที่ระบุในข้อ 10.1 ถึงข้อ 10.12 ที่ TADA เห็นว่าไม่เหมาะสม หรือเป็นการขัดขวางการให้บริการอย่างเป็นธรรม
11.1 ผู้ใช้ต้องใช้บริการฯ นี้ ภายใต้ความรับชอบของตนเอง
11.2 TADA อาจระงับการให้บริการฯ ทั้งหมดหรือแต่บางส่วน ลบบัญชี ketchup หรือยกเลิกข้อตกลงใด ๆ เกี่ยวกับการให้บริการระหว่างผู้ใช้และ TADA (รวมถึงแต่ไม่จำกัดเพียง ข้อตกลงใด ๆ ตามข้อกำหนดและเงื่อนไขฯ ฉบับนี้) หรือใช้มาตรการอื่นใดที่ TADA พิจารณาว่ามีความจำเป็นและเหมาะสมโดยไม่ต้องแจ้งให้ผู้ใช้ทราบล่วงหน้า ในกรณีที่ผู้ใช้รายนั้นกระทำการหรือไม่สามารถกระทำการอย่างหนึ่งอย่างใดดังต่อไปนี้
(1) ผู้ใช้ละเมิดกฎหมายที่เกี่ยวข้อง กฎระเบียบ ข้อกำหนดและเงื่อนไขฯ ฉบับนี้ หรือข้อกำหนดและเงื่อนไขฯ เพิ่มเติม
(2) ผู้ใช้เป็นสมาชิกของกลุ่มต่อต้านสังคมหรือกลุ่มคนที่มีความเกี่ยวข้องกับกลุ่มดังกล่าว
(3) ผู้ใช้ทำให้ TADA เสื่อมเสียความน่าเชื่อถือ เช่น การเผยแพร่ข้อมูลเท็จ ใช้วิธีการโกง หรือวิธีการใด ๆ อันไม่ชอบด้วยกฎหมาย
(4) ผู้ใช้ถูกร้องเรียน ถูกสั่งห้ามชั่วคราว ถูกขายทอดตลาด ถูกดำเนินคดีล้มละลาย ถูกฟื่นฟูกิจการ หรืออยู่ในการริเริ่มของกระบวรการซึ่งมีความหมายคล้ายคลึงกัน หรือ ด้วยเหตุผลอื่นใดตามที่ TADA เห็นสมควรซึ่งเกี่ยวกับความสามารถในการชำระหนี้ของผู้ใช้
(5) TADA สูญเสียความไว้วางใจต่อผู้ใช้ หรือเมื่อ TADA เห็นว่าไม่ควรให้บริการฯ แก่ผู้ใช้ต่อไปด้วยเหตุผลนอกจากที่ได้กล่าวในข้อ (1) ถึงข้อ (4) ข้างต้น
11.3 หาก TADA ได้รับความเสียหายเนื่องจากการประพฤติผิดโดยเจตนาหรือความประมาทเลินเล่อของผู้ใช้ TADA สามารถบอกเลิกการให้บริการได้ทันที และ ผู้ใช้มีหน้าที่ต้องชดใช้ค่าเสียหายให้แก่ TADA ทันทีที่ TADA ร้องขอ
TADA จะไม่รับประกันใด ๆ ไม่ว่าโดยชัดแจ้งหรือโดยปริยายเกี่ยวกับการให้บริการฯ แก่ผู้ใช้ (ซึ่งรวมถึงเนื้อหา) ซึ่งรวมถึงแต่ไม่จำกัดเพียงว่าบริการฯ นั้นปราศจากข้อบกพร่องใด ๆ (ข้อบกพร่องในที่นี่รวมถึงแต่ไม่จำกัดเพียง ข้อบกพร่องด้านความปลอดภัย ฯลฯ ข้อผิดพลาด บัค (BUGS) หรือการละเมิดสิทธิใด ๆ ) หรือมีความปลอดภัย มีความน่าเชื่อถือ มีประสิทธิภาพ และมีความเหมาะสมแก่การใช้ประโยชน์เฉพาะอย่าง ทั้งนี้ TADA ไม่มีความรับผิดชอบในการที่จะต้องจัดหาบริการฯ (รวมถึงเนื้อหา) ที่ไม่มีข้อบกพร่องดังกล่าวแต่อย่างใด
13.1 TADA จะไม่รับผิดชอบต่อความเสียหายใด ๆ ที่เกิดขึ้นจากการใช้บริการฯ รวมถึงแต่ไม่จำกัดเพียง อันเนื่องจากความเสียหายทางตรง ทางอ้อม การสูญเสียข้อมูล หรือการขาดทุนสูญเสียรายได้ที่เกิดจากการใช้งานหรือการไม่สามารถใช้งานบริการฯ ไม่ว่ากรณีใด ๆ ดังต่อไปนี้
13.2 ผู้ใช้ยอมรับว่าการใช้บริการฯ เป็นความเสี่ยงของผู้ใช้เอง TADA ไม่รับประกันว่าบริการฯ จะไม่มีข้อผิดพลาด ขัดข้อง หรือปราศจากไวรัสและอันตรายอื่น ๆ TADA ไม่รับประกันว่าข้อมูลที่ได้รับจากการใช้บริการฯ จะถูกต้อง แม่นยำ หรือเชื่อถือได้
13.3 TADA จะไม่รับผิดชอบต่อการสูญเสียหรือความเสียหายที่เกิดขึ้นจากการที่ผู้ใช้ไม่ปฏิบัติตามข้อกำหนดและเงื่อนไขฯ นี้ หรือการกระทำที่ไม่เหมาะสมหรือกฎหมายของผู้ใช้
13.4 ในกรณีที่ TADA มีความรับผิดชอบตามกฎหมายใด ๆ ความรับผิดชอบของ TADA จะถูกจำกัดไว้เฉพาะในส่วนที่เกิดขึ้นโดยตรงจากการกระทำที่จงใจหรือประมาทเลินเล่ออย่างร้ายแรงของ TADA เท่านั้น ทั้งนี้ ในกรณีผู้ใช้ได้รับความเสียหายอันเนื่องมาจากการกระทำโดยประมาทเลินเล่ออย่างร้ายแรงของ TADA TADA มีหน้าที่ใช้ค่าสินไหมทดแทนอันเกิดจากการละเมิดนั้น อย่างไรก็ตามต้องอยู่ภายในขอบเขตดังต่อไปนี้ (A) ความเสียหายที่เกิดขึ้นตามปกติธรรมดา และ (B) ค่าธรรมเนียมการใช้งานสูงสุดซึ่งได้จากการใช้บริการโดยมีค่าตอบแทนสำหรับในเดือนที่ความเสียหายดังกล่าวเกิดขึ้น
13.5 ผู้ใช้ตกลงที่จะปกป้องและชดใช้ค่าเสียหายแก่ TADA จากข้อเรียกร้องใด ๆ ที่เกิดจากการใช้งานบริการฯ โดยผู้ใช้หรือการละเมิดข้อกำหนดและเงื่อนไขฯ ของผู้ใช้
ในกรณีที่ข้อกำหนดข้อหนึ่งข้อใดของข้อกำหนดและเงื่อนไขฯ ฉบับนี้ละเมิดกฎหมายหรือกฎระเบียบใด ๆ ซึ่งมีผลใช้บังคับแก่ข้อตกลงระหว่างผู้ใช้และ TADA เกี่ยวกับการให้บริการฯ ข้อบังคับดังกล่าวไม่มีผลใช้บังคับแก่ผู้ใช้ อย่างไรก็ตาม ข้อบังคับอื่นนอกจากข้อบังคับดังกล่าวยังมีผลใช้บังคับ
15.1 สำหรับการแจ้งเตือนจาก TADA ต่อผู้ใช้เกี่ยวกับบริการฯ TADA อาจใช้วิธีการที่ TADA เห็นว่าเหมาะสม เช่น การประกาศไว้ในระบบการให้บริการฯหรือเว็บไซต์ของ ketchup เอง
15.2 สำหรับการแจ้งเตือนจากผู้ใช้ต่อ TADA เกี่ยวกับบริการฯ ผู้ใช้จะต้องใช้แบบฟอร์มสอบถามสำหรับลูกค้าที่อยู่ในระบบการให้บริการฯ หรือบนเว็บไซต์ซึ่ง TADA เป็นผู้ดำเนินงานหรือโดยวิธีการอื่น ๆ ที่ TADA กำหนด
ข้อกำหนดและเงื่อนไขฯ ฉบับนี้จะอยู่ภายใต้บังคับและตีความตามกฎหมายของประเทศไทย ความขัดแย้งที่เกิดขึ้นจากหรือมีความเกี่ยวพันกับการบริการฯ หรือความขัดแย้งระหว่างผู้ใช้และ TADA ที่เกี่ยวกับบริการฯ จะถูกพิจารณาและตัดสินโดยศาลที่มีเขตอำนาจของประเทศไทยเท่านั้น
Terms and Conditions for “Sticker Shop” on “ketchup” application
These Sticker Shop on ketchup application Terms and Conditions of Use (these "Terms and Conditions")
Set forth the terms and conditions for the use of any services or features of Sticker Shop on ketchup application (collectively, the “Services”) provided by TADA Entertainment ("TADA") to users of the Services (the "User” or “Users” depending upon the context).
The following words and terms shall have the meanings set forth below when they are used in these Terms and Conditions.
1.1 “Contents” means information such as text, sounds, music, images, videos, software, programs, computer code, and other information or in any form or medium perceivable by users, including but not limited to stickers, icons, and other graphic designs within the ketchup application.
1.2 "ketchup Account" means a user account created by registering to the ketchup application operated by TADA. This account will be used to access and utilise various services available on the ketchup application, including purchasing and downloading various content.
1.3 “Burger” refers to the credit or prepaid payment instrument or the like which Users can top-up into a ketchup Account for purchase and/or exchange for services and Contents on the ketchup application. The use of Burger will result in the deduction of the amount or value from the user's account as specified in these terms and conditions.
1.4 “User” means a service user who has registered and created a ketchup account and has accepted these terms and conditions in order to use various services or features of the Sticker Shop on the ketchup application.
1.5 “Services” means various services or features of the Sticker Shop on the ketchup application provided to users, including but not limited to purchasing, downloading, storing, and using various content or features of the Sticker Shop on the ketchup application.
2.1 All Users shall use the Services in accordance with these Terms and Conditions. Users may not use the Services unless they agree to these Terms and Conditions.
2.2 Users who are minors may only use the Services by obtaining prior consent from their parents or legal guardians. Furthermore, if Users will be using the Services on behalf of, or for the purposes of, a business enterprise, then such business enterprise must also agree to these Terms and Conditions prior to using the Services.
2.3 If there are separate terms and conditions applicable to the Services, Users shall also comply with such separate terms and conditions as well as these Terms and Conditions in using the Services.
3.1 TADA may revise these Terms and Conditions in any of the following cases: (1) when revision to these Terms and Conditions conforms to the general interests of Users; or (2) when revision to these Terms and Conditions is not in breach of the purpose of any contract, and is rational in light of the necessity of such revision, appropriateness of the subject matter after revision, and other circumstances concerning the revision.
3.2 In the foregoing case: (1) TADA will make Terms and Conditions to the public, by indicating on the Services or TADA’s website, or notifying Users according to a method prescribed by TADA such as emails, in application and/or on screen notifications to inform users of the details of the amendments and the effective date of the revised Terms and Conditions. In the case of Item. (2) TADA will make the revision public a reasonable period before the effective date of the revision. The revised version of these Terms and Conditions shall come into effect from the effective date.
4.1 In using the Services, Users will need to obtain a ketchup account. Users must also register the information prescribed by TADA with their ketchup Account in advance to log-into the Services. Users should further note that the TADA Common Terms of Use, which Users have consented to when creating their ketchup Account, will apply to the management and other use of the ketchup Account.
4.2 TADA reserves the right to delete any ketchup Account that has been inactive for a period of one (1) year or more since its last activation, without any prior notice to User.
4.3 Any and all rights of a User to use the Services and their usage history shall cease to exist when such User’s ketchup Account has been deleted for any reason. Please take note that a User’s right to use their ketchup Account and their usage history cannot be retrieved even if a User has accidentally deleted their ketchup Account.
4.4 Each account in the Services is for exclusive use and belongs solely to the User of such account. Users may not transfer, lease or otherwise dispose of their rights to use the Services to any third party, nor may the same be inherited or succeeded by any third party.
5.1 TADA places its top priority on the privacy of its Users.
5.2 TADA is entitled to disclose the User’s registered information, transaction history, and other information necessary for investigation of an unauthorised use of the Services to payment service providers and/or payment collection agencies if TADA determines that the same is necessary for the investigation, and Users are deemed to have consented to such disclosure in advance. Additionally, TADA will appropriately handle privacy information and personal information of Users in accordance with the TADA Entertainment Privacy Policy .
5.3 TADA promises to exercise the utmost care and attention to its security measures to ensure the safe management of any and all information collected from Users.
6.1 Any and all rights arising out of or related to the Services (including, without limitation, intellectual property rights such as copyrights, trademark rights, and patent rights) shall belong to TADA or to TADA’s third-party licensors.
6.2 TADA grants Users the right to use the Services pursuant to these Terms and Conditions and any other separate terms and conditions of use posted within the Service.
6.3 Even if terms such as "Purchase" or "Sales" and the like appear on the screens for the Service, no intellectual property rights or property rights in and to the Contents will in any way be transferred to Users. Users will only be granted usage rights as set forth in Clause 6.2 above.
6.4 Users shall comply with all service-specific terms and conditions when using any service or content that is either purchased or exchanged for Burger in the Service.
6.5 Any service or content obtained in exchange for Burger may only be used in the ketchup Account with which Burger has been charged.
6.6 Users shall supply PCs, mobile phone devices, smart-phones and other communication devices, operating systems, communication methods and electricity, etc. necessary for using the Services at their own responsibility and expense.
6.7 TADA reserves the right to limit access to all or part of the Services by Users depending upon conditions that TADA considers necessary, such as the age and identification of User, current registration status, and the like.
6.8 TADA may modify all or a part of the contents of the Services when corresponding to any of the following items:
(1) when modification to the contents of the Services, such as addition of functions to or improvement of the Services, conforms to the general interests of Users; or (2) in cases other than the preceding item, there is rationality in light of the necessity to modify the contents of the Services, appropriateness of the contents after modification, and other circumstances concerning the modification.
6.9 TADA may cease providing all or part of the Services without any prior notice to Users in case of the occurrence of any of the following:
(1) When conducting maintenance or repair of systems;
(2) When the Services cannot be provided due to force majeure such as an accident (fire, power outage, etc.), act of God, war, riot, labour dispute, etc.;
(3) When there is system failure or heavy load on the system;
(4) When securing the safety of Users or third parties, or in the case of an emergency for the public welfare.
(5) When TADA otherwise reasonably determines it to be necessary, other than those set forth in items (1) through (4).
The Services may contain services or Contents provided by third parties other than TADA. Such third parties shall bear any and all responsibility regarding such services and/or contents. Furthermore, there may be terms of use or other terms and conditions provided by such third parties which are applicable to such services and contents.
8.1 Burger will be provided to Users by the means specified by TADA, such as purchases in the Services, redemption of gift cards and other pre-purchased media, special offers and the like. The purchase unit, method of payment, and any other terms and conditions for granting Burger will be determined by TADA and indicated in the Services or on ketchup’s website.
8.2 Burger cannot be exchanged or used for cash, property or other economic gain other than the services and Contents designated by TADA. The amount of Burger required for receiving the services or Contents, as well as other terms for the exchange of Burger, will be determined by TADA and indicated accordingly in the Services or on ketchup’s website. Once Users initiate the process of exchanging Burger for Contents or services, this process cannot be cancelled.
8.3 Burger may only be used by the ketchup Account that has obtained the same.
8.4 Burger will not be refunded for any reason whatsoever; provided, however, that this shall not apply if necessary under applicable laws and regulations. In such a case, TADA shall determine the process for refunds in accordance with the relevant laws and regulations, and such information will be made available on the Services or on ketchup’s website, etc.
9.1 Users may receive services in exchange for payment of a fee under the terms and conditions prescribed by TADA, wherein the Users pay a certain amount of fees to use certain Contents designated by TADA for a certain period of time (the “Subscription Services”). Users shall abide by these Terms and Conditions, the fees for the Subscription Services, the payment method thereof, as well as other terms and conditions of use posted on the Services or on ketchup’s website.
9.2 Users may take procedures for the cancellation of Subscription Services at any time; provided, however, that even if a User takes the procedures for cancellation prior to the intended period of use, it will not be possible to change such period of use, and it will not be possible to cancel the purchase of the Subscription Services. In such a case, the fees already paid will not be refunded, nor will there be any refund on a pro rata basis. However, the foregoing will not apply if not permissible under laws or regulations. In such a case, the refund method will be determined by TADA in accordance with the applicable laws and regulations, and will be made available on the Services or on TADA’s website, etc.
9.3 If a User does not complete their cancellation procedure by the designated date and time, the period of use of the Subscription Services may be automatically renewed in accordance with the terms prescribed by TADA even after the end of the period of use of such Subscription Services.
TADA prohibits Users from engaging in any of the following acts when using the Services:
10.1 Acts that violate the laws and regulations, court verdicts, resolutions or orders, or administrative measures that are legally binding;
10.2 Acts that may be in violation of public order, morals or customs;
10.3 Acts that infringe intellectual property rights, such as copyrights, trademarks and patent rights, rights to fame, privacy, and all other rights granted by law or by a contract with TADA and/or a third party;
10.4 Acts of posting or transmitting excessively violent or explicit sexual expressions; expressions that amount to child pornography or child abuse; expressions that lead to discrimination by race, national origin, creed, gender, social status, family origin, etc.; expressions that induce or encourage suicide, self-injurious behavior or drug abuse; or anti-social expressions that include anti-social content and lead to the discomfort of others;
10.5 Acts that lead to the misrepresentation of TADA and/or a third party or that intentionally spread false information;
10.6 Acts or exchanging the right to use the Services or Contents into cash, property or other economic benefits, other than by using the method prescribed by TADA;
10.7 Acts of using the Services for sales, marketing, advertising, solicitation or other commercial purposes (except for those approved by TADA); using the Services for the purpose of sexual conduct or obscene acts; using the Services for the purpose of meeting or engaging in sexual encounters with an unknown third party; using the Services for the purpose of harassment or libellous attacks against other Users; or otherwise using the Services for purposes other than as intended by the Services;
10.8 Acts that benefit or involve collaboration with anti-social groups;
10.9 Acts of unauthorised or improper collection, disclosure, or provision of any other person’s personal information, registered information, user history, or the like;
10.10 Acts of interfering with the servers and/or network systems of the Services; fraudulently manipulating the Services by means of bots, cheat tools, or other technical measures; making unreasonable inquires and/or undue claims such as repeatedly asking the same questions beyond what is necessary, and other acts of interfering with or hindering TADA's operation of the Services or Users' use of the Services;
10.11 Acts of decoding the source code of the Services, such as by way of reverse engineering, disassembling or the like for unjustifiable purposes or in a wrongful manner;
10.12 Acts that aid or encourage any acts stated in Clauses 10.1 to 10.11 above; and
10.13 Acts other than those set forth in Clauses 10.1 to 10.12 that TADA reasonably deems to be inappropriate or obstructing fair service provis
